Contract review is a precautionary process of auditing a contract between two or more parties by a very experienced lawyer. This is to ensure that the terms of the contract are clear, unambiguous, fair, and reflect the rights and obligation the parties are willing to be bound by under the contract. Moreover, to ensure that the terms of the contract are enforceable in a court of law should a dispute arise sometime in the future.
It is very important to have a contract document reviewed by a lawyer. This precautionary audit process will serve to ensure the parties understand the effect of the terms of the contract before signing it.
Otherwise, where a contract has come into existence and the effect is not what one of the parties expected, and that party challenges the validity of the contract under one of these grounds to avoid liability. It is unlikely to succeed under unless the circumstances are exceptional. Such as illiteracy, blindness and those who lack mental capacity, or other circumstances such as fraud, undue influence and misrepresentation of material facts.
Therefore, unless the ground it falls within these exceptional circumstances, the Court is likely to find the contract valid and enforceable against the party who is trying to avoid liability, as the party will be deemed to have agreed to the terms of contract. As a result, the party could be exposed to substantial litigation fees. This can also lead to break down of long-standing business relationships. Additionally, in some circumstances due to protracted litigation process which can sometimes take years before the final judgement, the business itself may collapse leaving the party to face huge financial debits.
